Specialist Ownership and Control Dispute Lawyers for Australian Businesses

Ownership and control disputes arise when the people behind a business disagree about who owns it, who holds the voting power, or who has the right to make the decisions that shape its future. They commonly involve contested share issues or transfers, unclear or conflicting shareholder agreements, disagreements over equity promised to founders or investors, and attempts to take control of the board or the company. When ownership is uncertain, the business can stall. We advise owners, founders and investors across Australia on resolving these disputes.

Our team has deep experience with company constitutions, shareholder agreements, share registers and the corporate records that determine who really controls a business. We assess the position early, advise on realistic outcomes and pursue the path most likely to protect our client’s ownership and control, whether that’s negotiating a resolution or taking the matter to court. Fixed-fee options are available for defined stages of a matter, and we act nationally from offices in Melbourne, Sydney, Brisbane and Perth.

FAQs

What is an ownership or control dispute, and how is it different from a shareholder dispute?

An ownership or control dispute is a disagreement over who actually owns a company or who has the power to control it, for example through share ownership, voting rights or board appointments. A shareholder dispute is usually broader, covering how existing shareholders are treated, while an ownership or control dispute goes to the question of who holds the shares or power in the first place.

Allied Legal works out which type of dispute you’re facing and what’s really at stake, so the strategy we recommend targets your actual objective, whether that’s confirming your ownership or regaining control.

Ownership is usually evidenced by the company’s share register, share certificates, the constitution, shareholder agreements and the records of any issue or transfer of shares. Where these conflict or are incomplete, ownership may be uncertain and may need to be resolved by agreement or by the court.

Allied Legal reviews the corporate records and the history of any share dealings to build the strongest evidence of your ownership, and acts to have the records corrected where they’re wrong.

Possibly. A share issue or transfer can be challenged if it breached the company’s constitution, a shareholder agreement or the directors’ duties, or if it was made for an improper purpose such as shifting control. The outcome depends on the documents and the circumstances.

Allied Legal examines how the shares were issued or transferred and advises on whether to pursue a remedy, moving quickly where needed to protect your position.

Disagreements over founder equity usually come down to what was agreed, whether it was documented and whether that agreement was later changed. Without a clear written agreement, these disputes can be hard to resolve and become costly the longer they run.

Allied Legal reviews what was agreed and what’s recorded, and works towards a commercially sensible outcome, while preparing to enforce your rights if the other side won’t engage.

Most are resolved through negotiation or mediation, often guided by the dispute resolution clause in a shareholder agreement or constitution, with court proceedings available if that fails. Because these disputes can paralyse a business, early resolution is usually in everyone’s interest.

Allied Legal manages the process on your behalf, pushing for a prompt, practical resolution while preserving your right to litigate if that becomes necessary.

As early as possible, ideally as soon as ownership or control is challenged or a share issue, transfer or board change is proposed. Early advice can protect your position before control shifts or the dispute escalates.

Allied Legal reviews your documents straight away to identify your rights and the options available, so you can act before it’s too late.
